Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website located at radial.fi (the "Website"), the Radial application (the "App"), and any related content, tools, documentation, features, and functionality made available by Radial Finance (collectively with its affiliates, "Radial", "we", "us", or "our"), together with any other services we provide (collectively, the "Services").
Please read these Terms carefully. They include important information about your legal rights. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
1. Eligibility and Restricted Persons
By accessing or using the Services, you represent and warrant that:
(a) you are at least the age of majority in your jurisdiction and have full legal capacity to enter into these Terms;
(b) you are not a Restricted Person;
(c) you are not located in, ordinarily resident in, or accessing the Services from a Restricted Jurisdiction;
(d) your use of the Services does not violate any applicable law, regulation, or order to which you are subject; and
(e) you have not been previously suspended or removed from using the Services.
1.1 Restricted Jurisdictions
The Services are not offered to, and may not be accessed or used by, any person located in, ordinarily resident in, or a citizen of any of the following jurisdictions (each a "Restricted Jurisdiction"):
The United States of America (including its territories and possessions), the United Kingdom, the People's Republic of China (including Hong Kong), Cuba, Iran, North Korea, Syria, the Russian Federation, the Crimea region, the Donetsk People's Republic, the Luhansk People's Republic, Belarus, Myanmar (Burma), South Sudan, Somalia, Afghanistan, Yemen, Zimbabwe, and Venezuela.
We reserve the right to add, remove, or modify the list of Restricted Jurisdictions at any time and in our sole discretion, including in response to changes in applicable law or our risk assessment. Continued use of the Services after any such update constitutes acceptance of the updated list.
1.2 Restricted Persons
A "Restricted Person" means any person that is:
(a) the subject or target of any sanctions administered or enforced by the U.S. Department of the Treasury's Office of Foreign Assets Control, the U.S. Department of State, the United Nations Security Council, the European Union, His Majesty's Treasury of the United Kingdom, or any other applicable sanctions authority;
(b) located in, organized under the laws of, or ordinarily resident in any Restricted Jurisdiction;
(c) owned or controlled by any person described in (a) or (b); or
(d) otherwise prohibited or restricted from using the Services under applicable law.
1.3 No Offering Where Prohibited
The Services are not directed at, and are not intended to be accessed by, any person in any jurisdiction where the offer or use of the Services would be contrary to applicable law. Nothing on the Website or in the App constitutes an offer, solicitation, or recommendation to buy, sell, or hold any digital asset, security, or other financial instrument in any jurisdiction in which such offer, solicitation, or recommendation would be unlawful.
2. The Services
The Services provide access to information about, and certain functionality related to, the Radial protocol, including the radUSD and sradUSD tokens and any associated governance token (collectively, the "Tokens"). The Services may include the ability to view information about the Tokens, the Radial protocol, and related ecosystem partners.
We may make improvements, modifications, or updates to the Services at any time and in our sole discretion. We are not obligated to maintain or continue any aspect of the Services and may discontinue, suspend, or modify the Services in whole or in part at any time without notice or liability.
Your access to and use of the Services may be interrupted from time to time for reasons including equipment malfunction, periodic updating, maintenance, or repair, or other actions we elect to take in our sole discretion.
3. License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your personal, non-commercial use. We and our licensors reserve all rights not expressly granted in these Terms.
4. Restrictions on Use
You agree that you will not, and will not permit any third party to:
(a) use the Services in any manner that violates any applicable law, regulation, or these Terms;
(b) use the Services to engage in any fraudulent, deceptive, manipulative, or unlawful activity;
(c) attempt to interfere with, compromise the system integrity or security of, or decipher any transmissions to or from the servers running the Services;
(d) use any robot, spider, scraper, or other automated means to access the Services for any purpose;
(e) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software comprising or made available through the Services;
(f) access the Services from a Restricted Jurisdiction or while a Restricted Person, or use any technology to circumvent geographic restrictions or sanctions screening;
(g) use the Services in connection with the transmission of any malware, viruses, or other malicious code; or
(h) impersonate any person or entity or misrepresent your affiliation with any person or entity.
5. No Investment, Legal, or Tax Advice
The Services and any information provided through the Services are for informational purposes only and do not constitute investment advice, financial advice, trading advice, legal advice, tax advice, or any other type of advice. Nothing on the Website or in the App should be construed as a recommendation by Radial or any of its affiliates, officers, directors, employees, agents, or representatives to enter into any transaction or to adopt any investment strategy.
You alone are responsible for determining whether any digital asset, transaction, or strategy is appropriate for you based on your personal objectives, financial circumstances, and risk tolerance. You should consult your own legal, tax, and financial advisors before making any decisions in connection with the Services.
6. Risks
You understand and acknowledge that the use of digital assets and blockchain-based protocols involves significant risk, including but not limited to: market volatility; smart contract risk; regulatory risk; operational risk; counterparty risk; cyber risk; the risk of total loss of value; and the risk that the Services or any underlying protocol may experience interruptions, errors, or failures. You are solely responsible for evaluating these risks before interacting with the Services or any Tokens, and you assume all such risks.
The Tokens are not deposits, are not insured by any government deposit insurance scheme, are not backed by the full faith and credit of any government, and are not subject to the protections of any banking, securities, or investor protection laws applicable to traditional financial instruments.
7. No Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL RADIAL, ITS AFFILIATES, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR REPRESENTATIVES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).
9. Indemnification
You agree to defend, indemnify, and hold harmless Radial and its affiliates, and each of their respective officers, directors, employees, agents, and representatives, from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any misrepresentation made by you.
10. Third-Party Content and Links
The Services may contain links to third-party websites, applications, or content. We do not endorse, control, or assume responsibility for any third-party content, and we are not responsible for the availability or accuracy of such content. Your access to and use of any third-party content is at your own risk and is subject to the terms and policies of those third parties.
11. Intellectual Property
All content on the Services, including text, graphics, logos, icons, images, software, and the compilation thereof, is owned by Radial, our licensors, or our content providers, and is protected by applicable intellectual property laws. The "Radial" name, the Radial logo, and all related names, designs, and slogans are trademarks of Radial. You may not use any of the foregoing without our prior written permission.
12. Modifications to These Terms
We may modify these Terms at any time in our sole discretion. If we make material changes, we will update the "Last revised" date at the top of these Terms and may provide additional notice through the Services. Your continued use of the Services after any such modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.
13. Termination
We may suspend or terminate your access to the Services at any time, in our sole discretion, including if we believe you have violated these Terms or if your use of the Services creates risk to us or any third party. The provisions of these Terms that by their nature should survive termination will survive, including provisions regarding intellectual property, disclaimers, limitations of liability, indemnification, and governing law.
14. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or in connection with these Terms or the Services will be governed by and construed in accordance with the laws applicable to Radial's place of organization, without regard to its conflict-of-law principles. Any dispute, claim, or controversy arising out of or in connection with these Terms or the Services will be resolved exclusively through binding arbitration in accordance with the rules of a recognized international arbitration institution, conducted in English. You waive any right to participate in any class action or representative proceeding.
15. Miscellaneous
These Terms constitute the entire agreement between you and Radial with respect to the Services and supersede all prior or contemporaneous agreements and understandings. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. You may not assign these Terms without our prior written consent. We may assign these Terms at any time without notice.
